Article 1 – Definitions
1.1 Homadu: trade name of Digister, provider of the SaaS service, established at Hoolhof 16, 5521JR Eersel, the Netherlands.
1.2 user: any natural person or legal entity that uses the service.
1.3 service: Homadu’s online software platform, including website builder, reservation system, email functionalities and third-party integrations.
1.4 end customer: the renter or booker of an accommodation of the user.
1.5 agreement: the agreement between Homadu and the user.

Article 2 – Applicability
2.1 These terms and conditions apply to all services of Homadu.
2.2 The user’s general terms and conditions are expressly excluded.
2.3 Deviations are only valid if agreed in writing.

Article 3 – Nature of the service
3.1 Homadu provides software and technical facilities only.
3.2 Homadu is:

  • not a rental platform;
  • not an intermediary;
  • not a party to agreements between the user and end customers.
    3.3 All agreements between the user and end customers are entirely for the account and risk of the user.

Article 4 – User responsibility
4.1 The user is fully responsible for:

  • managing accommodations;
  • prices and availability;
  • communication with end customers;
  • collecting payments;
  • compliance with local, national and international laws and regulations;
  • permits, registrations, taxes and mandatory licences;
  • the proper functioning of their own business operations.

Article 5 – Exclusion of rental liability
5.1 Homadu is not liable for:

  • non-paying end customers;
  • cancellations and no-shows;
  • damage to accommodations;
  • theft or loss;
  • conflicts between the user and end customers;
  • fraud or misuse.
  • Article 6 – Payments and financial transactions

6.1 Homadu does not process payments itself, unless otherwise agreed.
6.2 External payment providers are responsible for transactions.
6.3 Homadu is not liable for failed payments, fraud or delays.

Article 7 – Third-party integrations
7.1 The service may contain integrations with external systems.
7.2 Homadu does not guarantee their correct operation.
7.3 Homadu is not liable for errors such as double bookings or data loss.

Article 8 – Availability
8.1 Homadu strives to provide a stable service.
8.2 No guarantee is given for error-free or continuous operation.
8.3 Maintenance may cause interruptions.

Article 9 – Trial period and subscription
9.1 New users receive a free 14-day trial period without payment details.
9.2 During this period, the service is fully available.
9.3 After expiry, a subscription must be selected.
9.4 If no choice is made, the website will be made invisible.
9.5 Activation takes place only after successful payment.

Article 10 – Payment and direct debit
10.1 Payments are made exclusively through Stripe.
10.2 By using the service:

  • the user agrees to automatic direct debit;
  • the user accepts Stripe’s terms and conditions;
  • the user is responsible for correct payment details.

10.3 In the event of a failed payment:
a maximum of 8 new collection attempts will be made;
within approximately 14 days.

10.4 If payment is not made:

  • Homadu may first suspend and then terminate the service;
  • the website will be made invisible;
  • access may be blocked.

10.5 Homadu is not liable for failed payments or restrictions imposed by Stripe.
10.6 Costs resulting from chargebacks or failed payments may be charged on.
10.7 If Stripe discontinues its services, Homadu may suspend the service.

Article 11 – Invoicing and prices
11.1 All prices are exclusive of VAT, unless stated otherwise.
11.2 If applicable, VAT will be calculated in accordance with applicable laws and regulations, depending on the user’s country.
11.3 Homadu reserves the right to change prices. Price changes will be communicated in good time.

Article 12 – Content and legal documents
12.1 The user remains the owner of the content.
12.2 Content must be lawful.
12.3 Homadu may remove content.
12.4 The user is fully responsible for all legal documents, texts and information published through the service, including general terms and conditions, privacy statements, payment terms, disclaimers and cancellation policies.
12.5 Homadu does not provide legal advice and does not guarantee that such documents comply with local or international laws and regulations.
12.6 The user guarantees that all uploaded images, texts and other content are royalty-free or may be lawfully used.
12.7 Homadu is not responsible for reviews, ratings or other content posted by users or end customers.
12.8 The user is responsible for the lawful use and management thereof.

Article 13 – Use, accounts and security
13.1 The user is responsible for keeping login details confidential.
13.2 Use of the service through the account is entirely for the account and risk of the user.
13.3 Homadu is not liable for damage resulting from unauthorised use of accounts.
13.4 Homadu advises users to make use of available security options, including two-factor authentication.

Article 14 – Misuse and fair use
14.1 It is prohibited to use the service for illegal or harmful purposes.
14.2 Homadu reserves the right to set reasonable limits on the use of the service, including:

  • storage space;
  • data traffic;
  • number of requests or API calls.

14.3 In the event of excessive use, Homadu may take measures, including limitation or suspension of the service.

Article 15 – Intellectual property
15.1 All rights to the service, including software, source code, design and functionalities, belong to Homadu.
15.2 The user obtains only a non-exclusive, non-transferable and limited right of use for the duration of the agreement.
15.3 The user is not permitted to copy, modify or resell the service or parts thereof without Homadu’s permission.

Article 16 – Liability
16.1 Homadu is liable only in the event of intent or gross negligence.
16.2 Any liability of Homadu is limited to a maximum of the amount paid by the user to Homadu in the 12 months preceding the event causing the damage.
16.3 Homadu is not liable for:

  • indirect damage;
  • consequential damage;
  • loss of revenue;
  • loss of profit;
  • reputational damage;
  • loss of data;
  • damage caused by third parties;
  • damage caused by end customers.

Article 17 – Indemnification
17.1 The user indemnifies Homadu against claims from third parties and end customers.

Article 18 – Subscription, renewal and termination
18.1 Subscriptions are entered into for a monthly or annual period and are automatically renewed.

For business users (B2B)

18.2 Termination at the end of the subscription period.
18.3 Renewal for the same period.
18.4 Amounts already paid will not be refunded.

For consumers (B2C)

18.5 Termination at any time, with effect at the end of the paid period.
18.6 Annual subscriptions:

  • are automatically renewed;
  • are then converted into an indefinite term;
  • can subsequently be cancelled monthly.
  • Right of withdrawal

18.7 Consumers have a 14-day cooling-off period.

18.8 This lapses if:

  • immediate delivery has started;
  • and the right of withdrawal has been explicitly waived.
  • Termination by Homadu

18.9 Homadu may first suspend and then terminate the service in the event of:

  • non-payment;
  • misuse;
  • breach of these terms and conditions.

18.10 Upon termination:

  • the website will be made invisible;
  • access will be blocked.
  • Cancellation and effect

18.11 Cancellation of a subscription by the user takes effect at the end of the current subscription period.
18.12 The service remains available until the end of the period already paid for. Amounts already paid will not be refunded, unless Homadu expressly decides otherwise or is legally obliged to do so.
18.13 After expiry or termination of the subscription or free trial period, Homadu may retain the account and associated website data for a maximum of 3 months.
18.14 This retention period is intended to give the user the opportunity to secure data, possibly reactivate the account or still take out a subscription.
18.15 After this period, Homadu may permanently delete or anonymise the account, website, accommodation data, texts, images, settings and other linked website data, unless Homadu is legally obliged to retain certain data for longer.
18.16 Backups may temporarily still contain this data, but will be automatically overwritten or deleted according to Homadu’s backup cycle.

Article 19 – Support and changes
19.1 Homadu provides support on a reasonable-efforts basis, without any guarantee of response times.
19.2 Homadu reserves the right to modify, expand or remove functionalities of the service.

Article 20 – Privacy and communication
20.1 Personal data is processed in accordance with the GDPR and applicable privacy legislation.
20.2 If applicable, a data processing agreement will be concluded.
20.3 The user is responsible for the content and sending of automatic emails and other communication to end customers.
20.4 The user guarantees that such communication complies with applicable privacy and anti-spam legislation.
20.5 Communication by email and through Homadu’s platform is deemed legally valid.

Article 21 – Domain names and DNS
21.1 The user remains responsible for the management, registration and renewal of linked domain names.
21.2 Homadu is not liable for disruptions or damage resulting from:

  • incorrect DNS configurations;
  • expired domains;
  • problems with external domain providers.

Article 22 – Force majeure
22.1 Homadu is not liable in the event of force majeure, including but not limited to:

  • outages;
  • hacks;
  • cyberattacks;
  • network problems;
  • failure of external services;
  • government measures;
  • natural disasters.

Article 23 – Applicable law and competent court
23.1 All agreements are governed by Dutch law.

For business users (B2B)

23.2 All disputes will be submitted exclusively to the competent court in the Netherlands.

For consumers (B2C)

23.3 Consumers have the right to submit a dispute to the competent court in accordance with the mandatory rules of their country of residence.
23.4 The Dutch court remains competent unless mandatory law provides otherwise.

Article 24 – Integrations with external rental platforms
24.1 The service may contain integrations with external platforms, including but not limited to Airbnb, Booking.com, VRBO and Expedia.
24.2 These integrations depend on external systems and APIs over which Homadu has no control.
24.3 Homadu does not guarantee:

  • error-free or real-time synchronisation;
  • correct or complete data transfer;
  • continuous availability.

24.4 The user remains responsible for:

  • checking availability;
  • preventing double bookings;
  • checking prices and reservations.

24.5 Homadu is not liable for:

  • double bookings;
  • incorrect synchronisations;
  • missed revenue;
  • damage caused by external systems.

24.6 Outages or changes at external platforms do not entitle the user to compensation.
24.7 In the event of outages, Homadu will make reasonable efforts to:

  • use last known data;
  • prevent incorrect synchronisations;
  • synchronise again later.

24.8 Homadu does not guarantee that these measures will prevent all damage.

Article 25 – Transfer and evidence
25.1 Homadu has the right to transfer the agreement and the resulting rights and obligations to a third party.
25.2 Homadu’s administration and log files constitute binding evidence, unless the user provides evidence to the contrary.
